By creating an account, accessing, or using QualityEngineer.ai, you confirm that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

You must be at least 16 years of age to use the Service. By using the Service, you represent that you meet this age requirement.

2. Description of Service

QualityEngineer.ai is an AI-powered quality engineering platform designed for manufacturing industries. The Service provides tools for:

• PPAP (Production Part Approval Process) evaluation and management
• AI-assisted document analysis and generation for quality records
• Quality workflow automation including corrective actions and finding tracking
• Supplier portal for document collection and collaboration
• Document classification, review, and compliance checking

The Service uses artificial intelligence (powered by Anthropic's Claude API) to analyze documents, generate quality records, and provide evaluation results. AI-generated output is intended to assist qualified professionals and does not replace professional engineering judgment.

3. Account Registration and Responsibilities

To use the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security of your account credentials and not share your password with others.
• Promptly notify us of any unauthorized use of your account.
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in activities that harm the Service or other users.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

• Use the Service for any illegal purpose or in violation of any applicable laws or regulations.
• Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Service.
• Scrape, crawl, or use automated means to access the Service without our written permission.
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
• Attempt to gain unauthorized access to the Service, other user accounts, or connected systems.
• Upload malicious files, viruses, or code intended to harm the Service or other users.
• Use the Service to infringe on the intellectual property rights of any third party.
• Resell, sublicense, or redistribute access to the Service without our written consent.
• Misrepresent AI-generated output as certified professional engineering analysis when it has not been reviewed by a qualified professional.

Our Platform

The Service, including its design, software, algorithms, user interface, documentation, and all related intellectual property, is owned by QualityEngineer.ai and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you ownership of the Service or its underlying technology.

Your Content

You retain full ownership of all content you upload to the Service, including engineering drawings, quality documents, process data, and any other materials ("Your Content"). We do not claim ownership of Your Content. By uploading content to the Service, you grant us a limited, non-exclusive license to process, store, and transmit Your Content solely for the purpose of providing the Service to you, including sending documents to our AI provider for analysis and generation as you request.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QUALITYENGINEER.AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

9. Service Availability and Modifications

We strive to maintain high availability of the Service, but we do not guarantee that the Service will be available at all times. We may temporarily suspend the Service for maintenance, updates, or other operational reasons.

We reserve the right to modify, update, or discontinue any part of the Service at any time. If we make material changes that negatively affect your use of the Service, we will make reasonable efforts to notify you in advance. Continued use of the Service after changes constitutes acceptance of the modified terms.

10. Payment Terms

QualityEngineer.ai offers free and paid subscription plans. For paid plans:

• Billing - paid subscriptions are billed on a recurring basis (monthly or annually) through our payment processor, Stripe.
• Plan tiers - features and usage limits vary by plan tier (Free, Professional, Enterprise). Current plan details and pricing are available on our website.
• Upgrades and downgrades - you may change your plan at any time. Upgrades take effect immediately; downgrades take effect at the end of the current billing period.
• Refunds - subscription fees are non-refundable except as required by applicable law. If you cancel a paid plan, you will retain access to paid features until the end of your current billing period.
• Price changes - we may change our pricing with at least 30 days' advance notice. Price changes will take effect at the start of your next billing period after the notice.

11. Termination

You may terminate your account at any time by contacting us or through your account settings. Upon termination:

• Your right to access the Service will cease immediately.
• We will retain your data for 30 days to allow for data export, after which it will be permanently deleted (subject to legal retention requirements).
• Any outstanding payment obligations will remain due.

We may suspend or terminate your access to the Service at any time if you violate these Terms, engage in harmful behavior, or if required by law. We will make reasonable efforts to notify you before or promptly after such action, unless doing so would violate the law or put other users at risk.

12. Indemnification

You agree to indemnify, defend, and hold harmless QualityEngineer.ai and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) content you upload or submit through the Service; or (e) your reliance on AI-generated content without appropriate professional review.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising out of or related to these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction, at our election. You agree to submit to the personal jurisdiction of such courts.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and provide notice through the Service or by email. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and close your account.

15. Miscellaneous

• Entire agreement - these Terms, together with our Privacy Policy, constitute the entire agreement between you and QualityEngineer.ai regarding the Service.
• Severability - if any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver - our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• Assignment - you may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.
• Force majeure - we shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, pandemics, or internet service disruptions.
